Slot terms

The terms for reserving and using Tium slots. They add to our Terms of Service, and where the two differ, these apply to slots.

Who this is between

These terms are between Tium and the company named in the reservation. The person reserving confirms they can bind that company. The general Terms of Service and Privacy Policy also apply.

What a slot is

A slot is the right to run one request at a time on the GLM-5.3 model, on GPU servers that Tiumrents and operates, during the slot’s hours. A 24/7 slot’s hours are all hours. A business-hours slot’s hours are 08:00 to 20:00, Monday to Friday, in the time zone chosen at reservation, following that zone’s daylight saving changes.

Each slot has a context size (45K, 90K or 128K tokens) that limits the prompt plus output of a single request. Requests beyond the number of slots bought wait briefly or are refused; they are not charged extra.

Reservations and batches

Slots are sold in batches. Reserving costs nothing at the time, but it is a commitment: by reserving, the company agrees to pay the invoice for its slots if the batch confirms.

Each batch has a close date, a start date and one extension date, shown when reserving. A batch confirms when enough slots are reserved to run it, either by its close date or earlier. If it confirms early, it starts about 7 days later. If it has not confirmed by its close date, it is extended once, to the extension date, and any reservation may be cancelled for free during the extension. If it has not confirmed by the extension date, every reservation in it is cancelled and nothing is owed.

Before a batch confirms, a reservation can be cancelled for free from the link in the confirmation email. After confirmation, changes are made by writing to us.

Invoicing and payment

When a batch confirms, we email the billing address first, and send the invoice at least 2 days later. Invoices are due within 7 days. If an invoice is unpaid after 7 days and one reminder, the reservation may be released, with nothing further owed.

The first invoice covers the period from the start date to the 1st of the following month, pro rata. After that, monthly plans are invoiced on the 1st of each month, in advance. Prepaid terms of 3 or 6 months are invoiced once, in advance, at the discount shown when reserving.

Prices are in US dollars and exclude any taxes that apply.

Term and cancellation

Monthly plans continue until cancelled with 30 days’ written notice; the plan then ends at the end of the billing month in which the notice period ends. Prepaid terms run to the end of the term and then continue monthly unless cancelled.

We may end a plan with 30 days’ notice if the shared capacity falls below what is needed to run it. In that case, any prepaid amount for the period after the plan ends is refunded pro rata.

Uptime and service credits

We commit to slots being available at least 99% of each calendar month, measured during each slot’s hours. If availability falls below 99%, the company receives a credit on its next invoice equal to the share of the month’s slot fee that corresponds to the downtime. Service credits are the sole remedy for unavailability.

Planned maintenance announced at least 48 hours in advance does not count as downtime.

After-hours overage

Business-hours slots are off outside their hours. The company may turn on after-hours overage in its dashboard and set a monthly cap. While it is on, requests outside slot hours are served when capacity is free, at lower priority than guaranteed slots, and charged per token at the rates shown in the dashboard. Overage appears as a separate line on the next invoice and never exceeds the cap the company set.

Data

Prompts, code and model outputs are processed only on servers in member states of the European Union, and are not stored, logged or used for training. Tium records usage data (token counts, timing and cost) for billing, capacity planning and service credits. Traffic for a slot is never sent to another provider. A data processing agreement is available on request.

Law and contact

These terms are governed by the laws of the State of Wyoming, and disputes go to the state and federal courts located in Wyoming, as in the Terms of Service. Questions: support@tium.ai.
